Assignment and Assumption of the Professional Services Agreement from InterVISTAS Consulting LLC to InterVISTAS Consulting Inc
SUMMARY:
This Ordinance consents to the assignment and assumption of the professional services agreement from InterVISTAS Consulting LLC to InterVISTAS Consulting Inc InterVISTAS Consulting LLC serves as the air service consultant for the San Antonio Airport System and recently merged with InterVISTAS Consulting Inc. The firm has requested the City consent to the request of InterVISTAS Consulting LLC to assign its rights under the agreement to InterVISTAS Consulting Inc.
BACKGROUND INFORMATION:
In 2012, City Council authorized a four-year professional services agreement with InterVISTAS Consulting LLC for air service consulting for the San Antonio Airport System through Ordinance 2012-08-30-0656. The firm recently merged with InterVISTAS Consulting Inc and has requested the City consent to the assignment of its rights to InterVISTAS Consulting Inc, effective April 1, 2015.
InterVISTAS Consulting Inc accepts, assumes, takes over, and succeeds to all of the InterVISTAS LLC's rights, duties, interests, liabilities, and obligations under the Agreement. The firm also agrees to indemnify and hold harmless the City with respect to any and all such duties, liabilities, or obligations.
ISSUE:
The assignment and assumption of professional services agreement require the approval of City Council.
ALTERNATIVES:
City Council can choose not to consent to the assignment and assumption of the agreement. However, this would be inconsistent with the City policy to consent to the assignment of an agreement.
FISCAL IMPACT:
The assignment and assumption agreement will not change the rates or terms of the agreement.
