BACKGROUND INFORMATION:
On December 8, 2009, the City of San Antonio’s Office of Sustainability released a Request for Proposals seeking respondents to provide operations and maintenance services for a bicycle sharing system. On June 17, 2010, City Council approved the negotiation to install 14 bike share stations and 140 bicycles in San Antonio’s Central Business District following the creation of San Antonio Bike Share, a non-profit 501(c)3 organization, on June 22, 2010.
San Antonio Bike Share currently consists of 55 bike share stations and 450 bikes. Stations are placed at key Downtown destinations and housing sites, alongside strategic tourist destinations, and adjacent to key transit stops throughout the Downtown area.
On May 14, 2015, City Council approved an amendment to the contract with San Antonio Bike Share to change the governance structure for SABS, and includes an expansion of San Antonio Bike Share Board of Directors to nine members as follows:
1. Three appointees by City Council
2. One appointee by City Manager
3. Five appointees by San Antonio Bike Share
On May 18, 2015, the Office of the City Clerk published an announcement and online posting for individuals interested in applying for one of the three available City Council appointed San Antonio Bike Share Board of Directors positions. Following the announcement, 15 individuals submitted applications and have been determined by the City Attorney’s office to be eligible to serve as a San Antonio Bike Share Board Member.
ISSUE:
This item considers three appointments to the San Antonio Bike Share Board of Directors.
Per recommendations within San Antonio Bike Share’s Strategic Plan, the City has identified the following areas of professional expertise for consideration when selecting applicants for board appointment:

Responsibilities for San Antonio Bike Share’s Board of Directors include reviewing and approving the organization’s mission, strategic direction, annual budget, key financial transactions, compensation practices and policies, and fiscal and governance policies. Bike sharing boards for similar non-profit organizations throughout the United States benefit from having members with unique areas of expertise such as urban planning, transportation, operations, public health, and economic development.
With a core mission to “educate, promote health, quality of life and preservation of the environment in San Antonio by offering alternative transportation to commuters,” new members of the Board should diversify the Board’s skill sets and/or the geographic and demographic representation of San Antonio, as well as increase the representation of critical agency stakeholders related to bike share in San Antonio.
The Transportation Technology and Utilities Committee is asked to review the applicants and select their recommendation to fill three vacant seats, for term lengths up to three years.

The target date for full City Council consideration of the appointments is January 2015.
ALTERNATIVES:
The Office of Sustainability can submit a second “Call for Nominations” and continue to accept applications. However, San Antonio Bike Share Board vacancies would delay the ability for San Antonio Bike Share staff to obtain full board approval of proposed program improvements.
FISCAL IMPACT:
There is no fiscal impact associated with this presentation.
RECOMMENDATION:
Staff recommends selecting three appointments to the San Antonio Bike Share Board of Directors and forwarding the appointments for full City Council consideration.
