SUBJECT:

Assignment and Assumption of the On-Call General Engineering Consultant Services Agreement from the URS Corporation to AECOM Technical Services for the San Antonio Airport System


SUMMARY:

This Ordinance consents to the assignment and assumption of the on-call general engineering consultant services agreement from URS Corporation (URS) and AECOM Technical Services, Inc. (AECOM) for the San Antonio Airport System.


BACKGROUND INFORMATION:

In December 2013, City Council authorized a professional services agreement for on-call general engineering consultant services agreement with URS for on-call planning, engineering, architectural, and project/construction management consulting services for capital improvement projects for both International and Stinson Municipal airports.

URS was acquired by AECOM and has requested that the contract be assumed by and assigned to AECOM. URS will assign, transfer and convey all of its rights, obligations, title, interest and liabilities in and to the agreement to AECOM. AECOM will accept such assignment and assume all of the rights, obligations, title and liabilities in and to the agreement with URS whether such rights, obligations, title, interest or liabilities arouse before or after this agreement.

The term of the agreement was three years with the option to extend for two, one-year renewals. The Department will authorize the first, one-year extension with AECOM once the assumption agreement is approved and has the option to extend for a second, one-year term.


ISSUE:

The consent of the City Council is required for the assignment and assumption of agreements.


ALTERNATIVES:

City Council can choose not to consent to the assignment and assumption of the agreement. However, this would be inconsistent with the City policy to consent to the assignment of agreements when the current firm is in good standing an...
